GILDEMEISTER AGM agrees name change ​​​​​​​

Bielefeld. Today’s 111th Annual General Meeting of GILDEMEISTER Aktiengesellschaft has voted by a large majority for a change in the company's name from GILDEMEISTER to DMG MORI SEIKI AKTIENGESELLSCHAFT and has thereby taken a further step in deepening the successful cooperation. Furthermore, the Supervisory Board of GILDEMEISTER Aktiengesellschaft today elected Prof. Dr-Ing. Raimund Klinkner (48) as its chairman. Prof. Klinkner succeeds Hans Henning Offen, who was chairman for many years and who will continue as a member of the board.

In May 2013 GILDEMEISTER signed a cooperation agreement with its cooperation partner, Mori Seiki, to deepen the trust-based partnership between the two companies. Amongst other points the agreement provides for adapting the name of each company to the joint brand presence that has already been established. The 111th Annual General Meeting of GILDEMEISTER Aktiengesellschaft today agreed by 94.09% that GILDEMEISTER Aktiengesellschaft be renamed to DMG MORI SEIKI AKTIENGESELLSCHAFT. Mori Seiki intends to present the resolution on a change of company name to its Annual General Meeting on 17 June 2013. MORI SEIKI Co., Ltd. is to change its name to DMG MORI SEIKI Co., Ltd. As soon as this resolution has been adopted, and the GILDEMEISTER Aktiengesellschaft capital increases provided for in the cooperation agreement have been carried out, a change to the articles of association and the entry in the commercial register will be registered.

The newly elected Supervisory Board of GILDEMEISTER Aktiengesellschaft comprises 12 members. The new chairman of the Supervisory Board, Prof. Dr-Ing. Raimund Klinkner has been a member of the GILDEMEISTER Supervisory Board since April 2012. The re-elected shareholder representatives include Prof. Dr. Edgar Ernst, Dr-Ing. Masahiko Mori, Ulrich Hocker and Hans Henning Offen. Prof. Dr-Ing. Berend Denkena joins as a new member of the board. Prof. Dr-Ing. Denkena is the head of the Institute of Production Engineering and Machine Tools (IFW) at the Centre for Production Technology of the Leibnitz University of Hanover. The employees‘ representatives were re-elected to the Supervisory Board on 5 March 2013, these are Dr. Konstanze Kurz, Mario Krainhöfner and Matthias Pfuhl; Dietmar Jansen, Hermann Lochbihler and Peter Reinoß were elected as new members.
